Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Charter’s website, products, applications, tools, reports, and related services (collectively, the “Services”). The Services are provided by Charter (“Charter,” “we,” “us,” or “our”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services.

1. Use of the Services

Charter provides tools that allow users to submit property information and receive property-related audits, reports, determinations, and other information.

You agree to use the Services only for lawful purposes and in accordance with these Terms.

You may not:

  • Use the Services for unlawful, fraudulent, or abusive purposes.
  • Attempt to gain unauthorized access to the Services or related systems.
  • Interfere with the operation, security, or availability of the Services.
  • Circumvent usage limits, rate limits, or other access controls.
  • Use automated methods to access or extract information from the Services except where expressly authorized by Charter.
  • Submit information that you do not have the right or authorization to provide.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the underlying source code or technology of the Services.
  • Use the Services to develop a competing service in violation of applicable law or contractual restrictions.

Charter may suspend or terminate access to the Services if we reasonably believe that you have violated these Terms or are using the Services in a manner that could harm Charter, the Services, or others.

2. No Account Required for Certain Services

Certain Charter Services may be available without creating an account.

The availability of an account-free service does not create any obligation for Charter to provide unlimited or uninterrupted access. Charter may impose reasonable usage limits, rate limits, or other restrictions to prevent abuse and maintain the availability of the Services.

3. Property Audits and Reports

Charter’s Services may analyze property information and publicly available or third-party information to generate audits, reports, determinations, or other results.

Charter does not guarantee that information used in an audit is complete, accurate, current, or error-free.

An audit or report represents Charter’s determination based on the information and methodology available to Charter at the time the result was generated. Circumstances, regulations, property information, or underlying data may change after a result is generated.

You are responsible for independently evaluating any Charter result before relying on it for a business, legal, financial, operational, regulatory, permitting, licensing, or other decision.

Charter provides information and software tools and does not provide legal, tax, financial, regulatory, or other professional advice.

Nothing on the Services should be interpreted as a substitute for advice from a qualified professional.

You should consult an appropriately qualified professional before taking action based on information obtained through Charter where professional advice is appropriate.

5. User-Submitted Information

You retain ownership of information and materials that you submit to Charter, subject to the rights necessary for Charter to provide the Services.

By submitting information, you represent that:

  • You have the right and authority to provide the information.
  • Your submission does not violate any applicable law or agreement.
  • Your submission does not knowingly contain malicious code or other material intended to disrupt or compromise the Services.

You grant Charter the limited rights necessary to receive, process, store, analyze, and use submitted information to provide and improve the Services, consistent with Charter’s Privacy Policy and any applicable agreement between you and Charter.

6. Intellectual Property

The Services, including Charter’s software, technology, interfaces, designs, trademarks, logos, reports, methodologies, databases, and other materials provided by Charter, are owned by or licensed to Charter and are protected by applicable intellectual property laws.

Except as expressly permitted by these Terms, you may not copy, reproduce, modify, distribute, sell, lease, sublicense, or create derivative works from Charter’s Services or intellectual property.

Your use of the Services does not grant you ownership of any Charter intellectual property.

7. Acceptable Use of Reports and Results

You may use Charter reports and results for your legitimate internal business purposes and other purposes permitted by your agreement with Charter.

You may not misrepresent Charter-generated results as independently verified facts when they have not been independently verified.

You are responsible for determining whether a Charter report or result is suitable for your particular use case.

8. Third-Party Information and Services

Charter may rely on information obtained from public records, government sources, third-party databases, service providers, and other external sources.

Charter does not control and is not responsible for the availability, accuracy, completeness, or reliability of third-party information.

The Services may also contain links or integrations to third-party websites and services. Your use of those services may be subject to separate terms and privacy policies.

9. Availability and Changes to the Services

Charter may modify, update, suspend, or discontinue any part of the Services at any time.

We do not guarantee that the Services will always be available, uninterrupted, secure, or error-free.

We may also change usage limits, features, pricing, or functionality from time to time.

10. Fees and Payments

If Charter offers paid products or features, applicable pricing, billing terms, subscription terms, and cancellation policies will be presented to you before purchase.

Unless otherwise stated, fees are non-refundable except where required by applicable law or expressly provided in the applicable purchase or subscription terms.

Charter may change pricing for future purchases or subscription periods by providing notice where required.

11. Privacy

Your use of the Services is also governed by Charter’s Privacy Policy, which describes how we collect, use, retain, and disclose information.

The Privacy Policy is incorporated into these Terms by reference.

12. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

CHARTER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND AVAILABILITY.

CHARTER DOES NOT WARRANT THAT THE SERVICES OR ANY INFORMATION, REPORT, AUDIT, OR RESULT PROVIDED THROUGH THE SERVICES WILL BE COMPLETE, ACCURATE, CURRENT, RELIABLE, ERROR-FREE, OR SUITABLE FOR YOUR PARTICULAR PURPOSE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CHARTER AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHARTER’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID CHARTER FOR THE SERVICES DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) $100.

Some jurisdictions do not allow certain limitations of liability, so some of the limitations above may not apply to you.

14. Indemnification

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Charter and its affiliates, officers, directors, employees, contractors, and service providers from claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or related to:

  • Your use or misuse of the Services.
  • Your violation of these Terms.
  • Your violation of applicable law or the rights of another person.
  • Information or materials you submit to the Services.
  • Your use of a Charter report or result in a manner not permitted by these Terms.

15. Termination

You may stop using the Services at any time.

Charter may suspend or terminate your access to all or part of the Services at any time if we reasonably believe that you have violated these Terms, created a security or legal risk, engaged in abusive conduct, or otherwise misused the Services.

Sections that by their nature should survive termination will survive, including provisions concerning intellectual property, disclaimers, limitations of liability, indemnification, and dispute-related provisions.

16. Governing Law

These Terms will be governed by the laws of the jurisdiction in which Charter is organized, without regard to conflict-of-law principles, unless applicable law requires otherwise.

Any dispute arising out of or relating to these Terms or the Services will be resolved in the courts located in the applicable jurisdiction, unless otherwise required by law.

17. Changes to These Terms

Charter may update these Terms from time to time.

When we make material changes, we may provide notice through the Services or by other reasonable means. The updated Terms will become effective when posted or on the date specified in the updated Terms.

Your continued use of the Services after the effective date means that you accept the updated Terms.

18. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

19. Entire Agreement

These Terms, together with the Charter Privacy Policy and any additional terms expressly applicable to specific Services, constitute the agreement between you and Charter regarding your use of the Services and supersede prior or contemporaneous agreements concerning that subject matter, except where a separate written agreement with Charter expressly applies.
